These Terms of Service (the "Terms") are a binding agreement between you and Oneirosea ("Oneirosea", "we", "us" or "our") and govern your access to and use of the Oneirosea website, application and services (together, the "Service"). By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of a company or other organisation, you represent that you are authorised to bind that organisation, and "you" refers to it.
The Privacy Policy is part of these Terms and is incorporated by reference. If you do not agree to these Terms, do not use the Service.
1The Service
Oneirosea is a workspace built around an AI agent. In one conversation the agent researches public material across supported social platforms and the open web, proposes what to make, generates and edits images and video through third-party models, and assembles the takes you keep into sequences.
The Service does not schedule posts, publish to social accounts, or connect to your accounts on any platform. What you do with the media it produces is entirely yours to decide and to carry out.
The Service is a tool for businesses and creators. It is not marketing, legal or professional advice, and we do not guarantee any commercial outcome — reach, engagement, sales or otherwise — from anything it produces.
2Eligibility and accounts
You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract to use the Service.
You are responsible for your account credentials and for all activity under your account. Notify us promptly if you suspect unauthorised use. We may refuse, suspend or reclaim account identifiers that infringe third-party rights or violate these Terms.
3What you bring
You provide the briefs, references, images, video and other material the agent works from ("Inputs"). You retain all rights you hold in your Inputs.
You grant us a worldwide, non-exclusive, royalty-free licence to host, reproduce, modify and process your Inputs solely to provide, secure and improve the Service for you, including transmitting them to the third-party model providers involved in fulfilling your requests.
You represent and warrant that you own or have all rights, licences and permissions needed for your Inputs, and that your Inputs and our processing of them as described do not infringe or misappropriate any third party’s intellectual-property, privacy, publicity or other rights, and comply with applicable law. This warranty is fundamental: the Service builds from what you give it.
4Research and public material
When you ask the agent to research something, it retrieves publicly available material — posts, comments, metrics, pages — and returns findings that keep their source and a link back to the original. Findings are shown to you so you can compare and verify them; they are evidence, not permission.
Material the agent surfaces belongs to whoever made it. Nothing in the Service grants you a licence to reuse a third party’s post, image, video, music, caption or brand. Treat findings as reference and direction, and obtain your own rights before reproducing anyone else’s work.
Availability of research depends on what each platform and site makes public and on how they respond to requests. Coverage may change without notice; this is not a failure of the Service.
5Approval before every paid run
No paid generation runs on its own. Before anything is generated the Service shows you the prompt, the selected model, the settings that model supports, and the estimated credit cost. You then approve it, edit it, or deny it.
An approval is your instruction to spend the credits shown and to run the generation described. Estimates are estimates: the charge applied is the cost of the run that actually executed, which may differ where a model prices by an outcome — duration, resolution or number of outputs — that is only known once it runs.
Credits are consumed when a run executes, including when the result is not what you hoped for. Generation is probabilistic, and a run that completes has been paid for upstream whether or not you keep its output.
6Plans, credits and billing
The Service is sold as a monthly subscription that carries a credit allowance, at the price shown at checkout, plus any applicable taxes. Every plan reaches the same tools; plans differ in purchasing power, not in product access.
Subscription credits refresh at each renewal and do not carry over. Credit packs can be bought at any time and do not expire; subscription credits are spent first, so a pack is only drawn on once the period’s allowance is gone.
- All payments are processed by Stripe. We do not collect, hold or store your card details.
- Checkout, payment methods, invoices and cancellation are handled in Stripe’s customer portal, reachable from your billing page.
- We receive only the billing metadata needed to run your account — subscription status, plan and invoice records.
Plan changes land on the period boundary rather than mid-period: the plan you are on runs to the end of the period you have paid for, and the change you chose takes effect at the next renewal.
We may change prices with at least 30 days’ notice; changes take effect at your next renewal. If you do not agree to a price change, cancel before it takes effect.
7Cancellation and refunds
You may cancel at any time through the Stripe customer portal. Cancellation takes effect at the end of the period you have paid for; you keep access, and the credits already issued for that period, until it ends. No further renewals are charged.
Fees are non-refundable once generation has run in the billing period. The reason is structural: the moment a run executes we incur and pay the corresponding charge with the third-party model provider, and that cost cannot be recovered. By approving a run you expressly request that we begin performance immediately, and — to the extent a statutory withdrawal or cooling-off right would otherwise apply to digital services in your jurisdiction — you acknowledge that this right is lost once performance has begun.
Purchased credit packs are non-refundable once any credit from them has been spent. Nothing in this section limits a non-waivable refund right you have under applicable law.
8Retention: what we keep, and for how long
The workspace is a working surface, not an archive. Uploaded references are retained for 15 days and generated outputs for 30 days, after which the files are deleted from our storage. The conversation itself — your messages, the agent’s findings and the record of what was approved — stays with your account.
Download anything you need to keep before its window closes. We are not liable for material that is deleted at the end of its retention window, and we do not undertake to restore it.
9How content is generated
Everything the Service produces is generated by artificial intelligence, using commercially operated image and video models from third-party providers, directed by the agent around the brief and references you supply. No human reviews output before it reaches you.
Generative models are probabilistic. Output may be inaccurate, incomplete, out of date or stylistically off; it may also occasionally resemble existing works, marks or people even though it is synthesised. These characteristics are inherent to the technology and are not defects in the Service.
You choose the model at the approval step, and the settings offered rebuild around what that model accepts. Model availability, behaviour and pricing are set by the providers and can change; where a provider withdraws or alters a model, the Service follows.
10Ownership of what comes back
Subject to these Terms, we assign to you all right, title and interest we may hold in the media the Service generates for you ("Output"). We make no promise that Output is protectable by copyright or other rights in any jurisdiction — the status of purely machine-generated work is unsettled and varies by country.
Because models generate from patterns, similar briefs can produce similar results. We may generate content for other customers that resembles yours. Exclusivity is not guaranteed.
You are the publisher. You decide what leaves the workspace, and you are solely responsible for everything you publish — for its accuracy, its legality, and its compliance with the rules of wherever it appears.
11People, likeness and privacy
People who appear in generated images and video are synthetic. They are not photographs of real individuals, and any resemblance to a real person is coincidental and unintended.
You must not use the Service to depict a real, identifiable person — including yourself, customers, employees, public figures and celebrities — without that person’s explicit, lawful consent. This includes steering generation toward a real person’s face, voice, name or persona.
Do not put personal data about identifiable third parties into your Inputs unless you have a lawful basis and any required consent to use it in public marketing material. Rights of publicity and personality vary by jurisdiction and are your responsibility: if a real person is to appear, get a release before you provide their likeness or publish content containing it.
12Trademarks and clearance
You warrant that you hold the rights to the brand names, logos, product names and other brand elements you bring to the Service, and that directing the agent to build around them infringes nobody’s rights.
Output may unintentionally resemble third-party trademarks, trade dress, characters or distinctive styles. We make no warranty of non-infringement for Output. Before using Output commercially — especially in paid placements or on packaging — you are responsible for any trademark, design or other clearance your use requires.
Do not use the Service to imitate a competitor’s branding or to create content likely to confuse the public about the source of goods or services.
13Acceptable use
You agree not to use the Service to generate, assemble or distribute:
- deepfakes or other content presenting a real person as saying or doing something they did not, or content impersonating any person or organisation;
- content sexualising any real person, or any sexual content involving minors, real or synthetic — which we report where required by law;
- content that is unlawful, defamatory, harassing, hateful, or that incites violence;
- false or unsubstantiated product claims — including health, financial or earnings claims — or fake reviews and testimonials;
- political-persuasion content that conceals its machine-generated nature, or coordinated deceptive behaviour of any kind.
You also agree not to reverse-engineer, scrape, probe or disrupt the Service or access it by automated means other than the interfaces we provide; not to resell, sublicense or white-label it without our written agreement; not to circumvent credit allowances or billing; and not to use it to develop a competing machine-learning model or service.
We may refuse a generation request, withhold Output, or suspend an account involved in prohibited use.
14Disclosure and labelling
Some jurisdictions and platforms require AI-generated or synthetic media to be labelled as such. You are responsible for knowing and meeting the disclosure obligations that apply to your audience, your industry and wherever you publish. Where a platform offers an AI-content label, we recommend using it.
15Third-party services and models
The Service depends on third parties: Stripe for payments, cloud infrastructure for hosting and storage, an authentication provider for sign-in, and the model providers that run generation. Their availability is outside our control and their terms govern your relationship with them. We are not liable for third-party services, though we choose and integrate them with reasonable care.
Your use of the Service must also respect the acceptable-use and content policies of the model providers behind it. Where a provider blocks, filters or restricts a request, the Service inherits that restriction; this is not a failure of the Service.
16Our intellectual property
The Service — its software, its agent, its design, branding and documentation — is owned by us or our licensors and is protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes while your subscription is active. No other rights are granted. Feedback you choose to give us may be used without restriction or obligation.
17Disclaimers
THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY AND UNINTERRUPTED OPERATION. MACHINE-GENERATED CONTENT IS PROBABILISTIC AND MAY BE INACCURATE, INCOMPLETE OR UNSUITABLE; YOU USE IT AT YOUR OWN RISK. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.
18Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL OR DATA; AND (B) OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE FEES YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or for death or personal injury caused by negligence.
19Indemnification
You will defend, indemnify and hold harmless Oneirosea and its officers, employees and agents from and against claims, damages, liabilities and reasonable costs (including legal fees) arising from: (a) your Inputs; (b) your publication or use of Output, including any claim that it infringes or violates a third party’s rights; (c) your breach of these Terms; or (d) your violation of applicable law.
20Suspension and termination
We may suspend or terminate your access if you materially breach these Terms, if required by law, or to prevent harm to the Service or others; where practicable we will give notice and an opportunity to cure. You may stop using the Service at any time, and may ask us to delete your account as described in the Privacy Policy. Sections that by their nature should survive — ownership, fees owed, disclaimers, liability limits and indemnities — survive termination.
21Changes to the Service or these Terms
We are an evolving product and may change or discontinue features, models and integrations. We may update these Terms from time to time; material changes will be notified through the Service or by email with reasonable advance notice, and the updated Terms apply from their stated effective date. Continuing to use the Service after that date is acceptance.
22Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which the Oneirosea operating entity is established, without regard to conflict-of-laws rules, and the courts of that jurisdiction have exclusive jurisdiction over disputes — except where mandatory law of your country of residence grants you protections or a forum that cannot be waived, which remain unaffected.
